1. ACCEPTANCE OF TERMS

Welcome to Givaro (“Platform”, “App”, “Service”), operated by Giveandtake Limited, a company registered in England and Wales (Company No. 16931925) with its registered office at 24, Heath Wood Drive, Maidstone, United Kingdom (“we”, “us”, “our”).

By downloading, accessing, or using the Givaro mobile application or website, you (“User”, “you”, “your”) agree to be bound by these Terms of Use (“Terms”). If you do not agree to all terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Givaro Ltd.

2. ELIGIBILITY

You must:

  • Be at least 18 years old.
  • Be resident in the United Kingdom.
  • Have the legal capacity to enter into contracts.
  • Use the Service only for personal, non-commercial purposes unless expressly authorised.
  • Provide accurate, current, and complete information during registration.

3. NATURE OF SERVICE

Givaro is a community platform that facilitates the free exchange of pre-owned physical goods between users. We are not a party to any transaction between users. We do not:

  • Own, sell, or broker items.
  • Guarantee the condition, safety, legality, or quality of items.
  • Provide warranties for items exchanged.
  • Handle payments for items (which are free), but we facilitate payment processing for the £1 Platform Fee and optional delivery services.

4. USER RESPONSIBILITIES

As a Giver:

  • You warrant that any item you list is your legal property to give away.
  • Items must be safe, clean, and in usable condition as described.
  • You must accurately select the item condition using our mandatory scale: New with tag, New without tag, Very Good, Good, or Satisfactory.
  • You are responsible for ensuring listed items comply with all UK laws, including but not limited to the Consumer Rights Act 2015, General Product Safety Regulations 2005, and Electrical Equipment (Safety) Regulations 2016.
  • You have the sole discretion to determine your preferred pickup method:
  • Contact-Free Courier Pickup: You are not required to meet the Taker. The item is collected by our courier partner from a safe location you designate.
  • Self-Pickup (Optional): You may choose to allow in-person collection only if you are comfortable with physical contact. This option is entirely at your discretion and can be disabled per listing.

As a Taker:

  • You understand items are offered “as is” with no warranty.
  • You are responsible for inspecting items upon collection or delivery.
  • The £1 Platform Fee is non-refundable except under our “No Surprises” Guarantee (see Section 7).
  • You acknowledge that self-pickup is not guaranteed and is entirely dependent on the Giver’s comfort and preference. If the Giver has selected courier-only pickup, you must use the delivery service.

Prohibited Items: You may not list or request: weapons, hazardous materials, recalled items, illegal substances, live animals, stolen goods, counterfeit items, or anything promoting hate/violence. Full list in Community Guidelines.

5. TRANSACTION PROCESS & FEES

Platform Fee: A non-refundable £1 fee is charged to the Taker upon committing to collect an item. This fee reserves the item and unlocks in-app chat.

Delivery Services: Optional delivery is provided by our trusted courier partners. Delivery costs are calculated based on size, weight, and distance, paid by the Taker through our integrated payment system. Delivery terms are subject to the courier’s own terms and conditions.

Pickup Method: The Giver specifies their preferred pickup method when creating a listing:

  • Courier Only: The Taker must use our delivery service. Self-pickup is not available.
  • Self-Pickup Available: The Taker may choose to arrange in-person collection. This option is displayed only when the Giver has explicitly enabled it.

Refund Policy: The £1 Platform Fee is refundable only if:

  • The item is significantly not as described (reportable within 24 hours of collection/delivery).
  • Courier failure occurs where our partner courier accepts liability.

Refund requests must be submitted via in-app support within 24 hours of collection or delivery.

6. PAYMENT PROCESSING

We use Stripe, Inc., a PCI-DSS compliant third-party payment processor. By using our payment services, you agree to Stripe’s Terms of Service and Privacy Policy. We do not store your full payment card details.

7. “NO SURPRISES” GUARANTEE

Our discretionary guarantee protects Takers who receive an item that is materially different from its listed description (e.g., broken when listed as “Very Good”). To qualify:

  • Report via in-app support within 24 hours of collection or delivery.
  • Provide clear photographic evidence of the discrepancy.
  • Not have altered or damaged the item yourself.

We will investigate, mediate between both parties, and may refund the £1 Platform Fee at our discretion. This is not a product warranty and does not constitute acceptance of liability for the condition of items.

8. RATINGS & MODERATION

After a successful transaction, the Taker may leave an anonymous 1-5 star rating and an optional comment about their experience with the Giver and the accuracy of the item description.

All comments are moderated by our team before publication to ensure compliance with our Community Guidelines. Ratings are permanent and anonymous.

We reserve the right to remove ratings or comments that violate our Community Guidelines. Users with consistently low ratings may have their accounts restricted.

9. INTELLECTUAL PROPERTY

We own all intellectual property rights in the Platform, including trademarks, logos, and software. You retain ownership of content you post (photos, descriptions) but grant us a worldwide, royalty-free license to use, display, and distribute it for the operation of the Service.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by English law, we exclude all liability for:

  • Any loss or damage to items during exchange, collection, or delivery.
  • Any personal injury or property damage arising from use of an item obtained through the Platform.
  • Any economic losses, indirect, or consequential damages.
  • Our total liability to you shall not exceed the total fees you have paid to us in the past 12 months.

We do not exclude liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded under English law.

11. TERMINATION

We may suspend or terminate your account if you breach these Terms, with or without notice. You may delete your account at any time via the app settings, and your account can be restored within 30 days of deletion, after which it will be permanently deleted. Termination does not affect any rights or liabilities that arose prior.

12. GOVERNING LAW & DISPUTES

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage users to first contact us at disputes@giveandtake.uk to resolve issues informally.

13. CHANGES TO TERMS

We may amend these Terms at any time. We will notify you via the app or email at least 30 days before changes take effect. Continued use after changes constitutes acceptance.
